These Terms of Use include a mandatory arbitration clause, detailed in section 17, which requires individual arbitration of disputes, prohibits jury trials, and disallows class actions.

BOI Reporting grants you a limited, non-exclusive, non-transferable, and revocable license to access and use this website as long as you comply with these Terms of Use.

Subject to your acceptance of these Terms of Use and any applicable orders, BOI Reporting provides you a limited license to use the Services to assist in the preparation and submission of Beneficial Ownership Information (“Reports”) required by the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN), in accordance with the Corporate Transparency Act.

2. Submission of Reports

BOI Reporting offers tools to facilitate the preparation and submission of Reports. However, BOI Reporting does not guarantee that Reports submitted through its Services will be accepted by FinCEN or that the individual/entity (the “Subject”) for whom the Report is submitted will be in full compliance with the Corporate Transparency Act. We do not offer legal or professional advice.

You are solely responsible for ensuring the accuracy of any information you provide. BOI Reporting does not independently verify the data you submit. By submitting a Report, you represent that you have the authorization of the Subject to submit the Report and agree that BOI Reporting may transmit the Report to FinCEN on the Subject’s behalf.

3. Privacy

Your privacy is important to us. Please review our Privacy Policy, which outlines how we collect, use, and protect your information. By using our Services, you agree to the terms in our Privacy Policy, which is incorporated into these Terms of Use.

4. Orders and Payment

Some features of the Services are fee-based. You may place an order for paid features via our website (an “Order”). Orders may be subject to verification and are non-binding until accepted by BOI Reporting. Prices and availability of features may change without prior notice.

Upon acceptance of your Order, you agree to pay the specified amount under the terms provided. All payments are final.

By registering, you must provide accurate and complete information, including but not limited to your name, email address, payment details, and phone number. By using the Services, you may communicate feedback, comments, or suggestions that are not related to Report submissions. BOI Reporting is free to use this information without any confidentiality obligations and may reproduce, use, or distribute it as needed.

If you upload any content (referred to as “Your Content”) to public sections of the Services, you grant BOI Reporting a non-exclusive, worldwide, perpetual, royalty-free license to use, display, and distribute Your Content as part of the Services.

8. Acceptable Use

• Use the Services if you are under 18 or cannot legally agree to these Terms.
• Share your account with anyone else.
• Use the Services for unlawful purposes.
• Upload content that is offensive, defamatory, or violates any laws.
• Use the Services in any fraudulent or deceptive manner.

• Interfere with the operation of the Services, such as through automated bots or excessive data loads.

9. Reporting Infringement

If you believe that any content on the Services infringes your copyright or other intellectual property rights, please contact us via email or mail. We will respond to legitimate claims as required under the Digital Millennium Copyright Act of 1998 (DMCA).

You agree to indemnify and hold harmless BOI Reporting, its affiliates, officers, directors, and employees from any claims, damages, losses, or legal fees arising out of your use of the Services or your violation of these Terms of Use.

BOI Reporting does not guarantee the accuracy, timeliness, or completeness of Reports submitted through the Services. We are not liable for any claims related to the content or submission of Reports.

12. No Warranty

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Service Availability and Outages

BOI Reporting strives to maintain continuous operation of the Services, but outages may occur. We are not responsible for any damages or losses arising from service interruptions, regardless of cause.

14. Termination

BOI Reporting reserves the right to terminate your access to the Services at its discretion, for any reason, including but not limited to a violation of these Terms of Use. Upon termination, your license to use the Services will immediately cease.

15. Refund Policy

All sales are final. BOI Reporting does not offer refunds, except to correct billing errors or if Services were not provided as promised. Changes in governmental regulations do not entitle you to any refunds for paid services.

16. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

17. Dispute Resolution and Arbitration

Any disputes arising out of or related to these Terms of Use will be resolved through binding arbitration on an individual basis, as set forth in the Arbitration Agreement. You waive any right to participate in a class action or class arbitration.
